PRELIMINARY ARTICLE

NM SPORTS CO., limited (hereinafter “SLÉMON” or “the Company”) operates an online retail platform specializing in sports apparel and athletic goods, primarily serving customers in North America.

SLÉMON has established its own e-commerce website (hereinafter referred to as the “Site”) to provide direct-to-consumer sales of its products under the SLÉMON brand.

All products available on the Site are sold exclusively to end consumers for personal use. Professional purchases for resale purposes are strictly prohibited. Accordingly, these terms and conditions of sale (hereinafter “Terms” or “T&C”) apply solely to individual consumers acting on their own behalf and primarily located in North America. Additional delivery territories may be available subject to separate confirmation and shipping arrangements.

SLÉMON reserves the right to amend these Terms at any time. The version of the Terms that governs each order is the one accepted by the Customer at the time such order is placed.

The applicable version of these Terms will be provided to the Customer in the order confirmation email sent upon purchase completion.

ART. 1 — PURPOSE AND SCOPE

These Terms are designed to clearly communicate the conditions governing the sale and delivery of products by SLÉMON through the Site, and to establish the respective rights and obligations of both parties in connection with each purchase transaction.

By placing an order through the Site and confirming acceptance via the designated checkbox, the Customer confirms that they have reviewed these Terms prior to completing the order and agree to be bound by them without reservation.

These Terms operate in conjunction with the Site’s Privacy Policy and Cookie Policy.

Completion of any order through the Site constitutes the Customer’s acceptance of these Terms and the aforementioned Privacy Policy.

ART. 3 – PRODUCTS

3.1 Product Information

The products displayed for sale on the Site are those shown at the time the Customer views the Site, subject to inventory availability. SLÉMON may update the product range available on the Site at any time without prior notice.

While SLÉMON endeavors to present products accurately on the Site, product images and photographs are provided for illustrative purposes only and do not form part of the contractual description of the products.

Customers may review the Site prior to placing an order to obtain essential product specifications and details for all items offered for sale.

3.2 Pricing

All product prices displayed on the Site are shown in United States Dollars (USD) per item. Prices include applicable taxes but exclude shipping and delivery charges unless otherwise stated. The total amount payable by the Customer upon order confirmation includes the sum of all item prices (including taxes) plus applicable shipping fees. Any costs associated with internet access or telecommunications necessary to access the Site remain the Customer’s responsibility.

SLÉMON reserves the right to modify product prices at any time. Price changes will be reflected on the Site and will apply to orders placed after such modifications are made.

3.3 Product Availability

Products featured on the Site are offered subject to stock availability. SLÉMON does not warrant that all displayed products will remain available for purchase.

If products become unavailable after an order is placed, SLÉMON will notify the Customer via email as promptly as possible regarding the unavailability and whether the order will be cancelled in whole or in part.

Should an order be cancelled in its entirety due to product unavailability, SLÉMON Customer Service will contact the Customer to inform them of the cancellation and may offer to process a new order excluding the unavailable items.

In the event of partial order cancellation:

  • The Customer’s order will be processed with available items and payment will be processed for the full order amount initially
  • Available products will be shipped to the Customer
  • SLÉMON will issue a refund for any unavailable products within a reasonable timeframe, and no later than 30 days from the date of payment

3.4 Title Retention

Products ordered by the Customer remain the property of SLÉMON until full payment has been received and cleared.

ART. 4 — ORDERING PROCESS

To complete an order, the Customer must access the Site and follow these steps:

  1. Select one or more items and add them to the shopping cart by clicking the “Add to Cart” button.
  2. Review the order summary to verify items and quantities, and correct any entry errors.
  3. Select the preferred shipping method from available options and proceed to checkout.
  4. Sign in to the Site either by creating a new account or by logging in with existing credentials (email address and password). Alternatively, the Customer may proceed as a guest by entering only their email address.
  5. Note that if there is extended inactivity during the ordering process, previously selected items may not be preserved and the Customer may need to restart the selection process.
  6. Follow the secure payment instructions provided by our payment processing partner to complete the transaction.
  7. Enter shipping address details and select preferences for saving information for future orders, then continue to the next step.
  8. Verify and update contact and delivery information as needed.
  9. Review the complete order, including total item prices and shipping costs, and confirm the final amount. The Customer may modify the order at this stage by returning to previous steps.
  10. Check the box confirming acceptance of these Terms and Conditions.
  11. Confirm whether the billing address matches the delivery address.
  12. Once the Customer clicks “Pay Now” or equivalent confirmation button, the order becomes final and cannot be cancelled or modified. Payment for the total amount (including items and shipping) will be processed immediately.
  13. Upon successful payment processing, SLÉMON will send an order confirmation email to the Customer containing a summary of ordered products, prices, shipping fees, and the order number.
  14. When the order is shipped, the Customer will receive an electronic shipping confirmation with tracking information.
  15. The Customer will receive the package at the delivery address specified during checkout.

All purchases made through the Site are intended for individual, non-commercial consumers ordering products for personal use or as gifts. Accordingly, SLÉMON sells products in quantities appropriate for normal household consumption.

SLÉMON reserves the right to refuse or cancel any order that appears to be placed for commercial resale purposes, or any order that does not align with reasonable consumer purchasing patterns, as well as any order that suggests the Customer is engaged in commercial activities related to the products ordered.

SLÉMON further reserves the right to suspend or cancel any order and/or delivery in cases of payment failure, partial payment, payment disputes, fraud, or suspected fraudulent activity relating to Site usage.

ART. 5 — PAYMENT TERMS AND SECURITY

5.1 Payment Methods

All orders require payment. Orders are payable in United States Dollars (USD). Any bank fees or transaction charges will be borne by the Customer, including in cases of refund.

Payments for Customer purchases may be made by credit or debit card through our secure payment processor. We accept major credit card networks including Visa, MasterCard, and American Express. Payments by check or other methods not explicitly supported are not accepted. The Customer warrants that they have the necessary authorization to use the selected payment method.

Orders will only be confirmed once products are confirmed available in inventory. Upon verification of payment information and receipt of payment authorization from the Customer’s financial institution, the transaction will be processed immediately.

Payment obligations made through credit or debit card are binding once authorized. By providing card information, the Customer authorizes SLÉMON to charge the total order amount, including applicable taxes and shipping costs, to the designated card.

The Customer confirms that they are the authorized cardholder and that the name on the card matches their identity. Payment information must be provided in the secure payment environment operated by our payment processing partner. Required information includes the card number, expiration date, and, where applicable, the card verification code (CVV/CVC).

If payment cannot be processed for any reason, the sale will be immediately cancelled and the order will not be processed.

Our payment processing partner maintains secure systems and is solely responsible for handling Customer banking and payment information. This information is not transmitted through or stored on the SLÉMON website.

5.2 Payment Security

To enhance transaction security and prevent fraud, SLÉMON utilizes industry-standard security measures including Secure Sockets Layer (SSL) encryption and, where available, additional cardholder authentication methods such as 3D Secure verification.

When processing payments, Customers may be asked to provide additional authentication information as required by their financial institution. This may include verification codes sent to registered devices or answers to security questions. Such authentication helps ensure that payments are authorized by the legitimate cardholder.

If a Customer’s bank requires additional authentication and the Customer cannot or does not complete this process, or if authentication information is entered incorrectly, the transaction may be declined.

ART. 6 — DELIVERY AND RECEIPT

6.1 Delivery Address

During the ordering process, the Customer must select the delivery country and provide a complete delivery address. Products are primarily delivered to addresses within North America. Additional delivery territories may be available and will be confirmed during checkout.

Any delivery address located outside available delivery territories will not be accepted during the ordering process.

Products ordered by the Customer will be delivered to the address specified as the delivery address during checkout. The following delivery address types are not accepted:

  • General mailboxes or unassigned addresses
  • Post office boxes (PO boxes)

SLÉMON reserves the right to refuse delivery to any address that appears incomplete, invalid, or unsuitable for secure package delivery.

6.2 Delivery Methods and Shipping

The Customer may choose from available delivery methods presented on the Site during checkout. Delivery fees and estimated delivery times vary based on the destination country and the selected shipping service.

Orders are processed and prepared for shipment by SLÉMON, and delivery is handled by third-party shipping carriers selected based on the delivery destination and service level chosen by the Customer.

Once an order has been processed and transferred to the shipping carrier for delivery, the Customer will receive a shipping confirmation email containing tracking information and the package tracking number.

Customers may monitor the status of their order and track package delivery through:

  • The personal account area accessible on the Site (where an account has been created)
  • The tracking number provided in the shipping confirmation email, which can be entered on the shipping carrier’s website for real-time tracking and delivery updates

All shipping carriers used by SLÉMON provide online tracking capabilities, allowing Customers to view the current status and location of their package throughout the delivery process.

6.3 Receipt and Inspection of Products

The Customer or the order recipient is responsible for examining the package and products upon delivery to verify their condition and completeness.

If the package appears damaged, opened, or compromised, or if products are missing or damaged upon delivery, the Customer or recipient must immediately note any issues and contact SLÉMON Customer Service via email at hello@slemonactive.com. In cases where the package appears to have been tampered with or severely damaged, the Customer may refuse delivery.

Failure to report packaging or product issues promptly may limit the Customer’s ability to seek remedies from the shipping carrier or SLÉMON. In particular, failure to report issues within a reasonable time may preclude reimbursement or replacement.

The Customer must verify that delivered items match their order. If items received do not correspond to the order in type or quality, the Customer must notify SLÉMON Customer Service via email at hello@slemonactive.com and follow the return procedures outlined in Article 7.

ART. 7 — RETURNS AND REFUNDS

7.1 Return Policy and Timeframe

SLÉMON provides customers with a return policy allowing Customers who are not satisfied with ordered items to return them for a refund. Customers have a period of 7 (seven) calendar days from the date of receipt of the parcel containing the ordered products to initiate a return request.

7.2 Return Process

Products must be returned to SLÉMON in their original condition, suitable for resale. This means products must be in perfect condition, in their original packaging, complete with all accessories and materials (such as instructions, tags, protective packaging, etc.), with all tags attached, and unused and unworn. Returns must be initiated within 7 (seven) days of receipt. After this 7-day period, returns will not be accepted.

To initiate a return, the Customer must first contact SLÉMON Customer Service by email at hello@slemonactive.com to request a return authorization and obtain return shipping documentation.

Upon receiving the Customer’s return request via email, SLÉMON will provide the Customer with a return shipping label and any necessary return documentation. The Customer must use the provided return label to ship the products back to SLÉMON’s designated return facility.

Products must be returned using the provided return label and shipped back to SLÉMON within a reasonable time after the return label is issued.

Once returned products have been received and inspected by SLÉMON, and confirmed to meet the return conditions stated above, SLÉMON will process a refund within 15 (fifteen) business days. Refunds will be issued to the original payment method used for the order. Please note that depending on the Customer’s financial institution, it may take additional time for the refund to appear in the Customer’s account.

In the event of a complete return of all items in an order, SLÉMON will also refund the original shipping costs paid by the Customer, if any were charged.

If multiple items from a single order are returned, and the Customer chooses to return only some items during the return period, shipping costs for the original order will not be refunded unless all items are returned.

Items returned in incomplete condition, worn, damaged, deteriorated, soiled, or otherwise not suitable for resale will not be eligible for refund and may be returned to the Customer at the Customer’s expense.

ART. 8 — PRODUCT WARRANTIES

All products sold on the Site are covered by applicable warranties as provided by law, which enable buyers to obtain remedies for defective or non-conforming goods without additional charge.

8.1 Product Conformity Warranty

SLÉMON is obligated to deliver products that conform to the contract and specifications. Products must be fit for their intended use and possess the characteristics described on the Site and agreed upon at the time of purchase. SLÉMON is responsible for any lack of conformity that exists at the time of delivery, including non-conformities resulting from packaging or instructions when these form part of the contract or are provided under SLÉMON’s responsibility.

Actions relating to non-conformity must generally be brought within applicable statutory time limits, typically within two years from delivery of the goods, depending on the applicable jurisdiction.

8.2 Warranty Against Defects

SLÉMON is liable for defects in sold items that make them unsuitable for their intended use or significantly reduce their usability such that the buyer would not have purchased them or would have paid less had they been aware of the defects.

Claims for defects must generally be made within applicable statutory time limits, typically within two years from discovery of the defect, subject to applicable law in the relevant jurisdiction.

Products that have been modified, repaired, altered, or used in ways other than intended by the Customer are excluded from warranty coverage. The warranty does not cover products damaged during shipping (unless due to packaging defects) or damaged due to misuse, abuse, or improper care by the Customer.

8.3 Exercising Warranty Rights

When exercising warranty rights, the Customer may typically choose between repair or replacement of defective goods, subject to availability and applicable law. Warranty claims must be made within applicable statutory time limits.

8.4 Warranty Remedies

Within the framework of applicable warranties, SLÉMON undertakes, at the Customer’s choice and subject to product availability:

  • Either to replace the defective product with an identical product
  • Or to refund the price of the product if replacement proves impossible or if the Customer prefers a refund

For hidden defects or other warranty claims, after evaluation of the defect, SLÉMON may, at the Customer’s choice:

  • Refund the full price of the returned product
  • Or, in certain circumstances and with the Customer’s agreement, provide a partial refund if the Customer chooses to keep the product

ART. 9 — LIABILITY

9.1 Legal Capacity

The Customer declares that prior to placing an order, they have the full legal capacity to enter into and be bound by these Terms. SLÉMON is not obligated to verify the legal capacity of its Customers. If a person without legal capacity places an order on the Site, their legal representatives will assume full responsibility for the order and must honor all payment obligations.

9.2 Limitation of Liability

SLÉMON’s liability under these Terms will not be engaged in cases where non-performance of its obligations is attributable to the actions of a third party (even if foreseeable), fault of the Customer, or the occurrence of force majeure events as defined under applicable law.

The information provided on the Site is provided “as is” without warranties of any kind. SLÉMON is not responsible for any direct or indirect damages, whether foreseeable or not, arising from use of the Site. In the event that SLÉMON’s liability is established and relates to damage sustained by a Customer and is attributable solely to the placement of an order, SLÉMON’s liability is limited to the total amount paid by the Customer to SLÉMON for that specific order.

ART. 10 — CUSTOMER SERVICE

For any additional information, questions regarding order tracking, returns, or complaints related to an order, Customers are invited to contact SLÉMON Customer Service by telephone at +852 5645 3540 or by email at hello@slemonactive.com. Customer service hours are indicated in the Site’s “Contact Us” section.

Only complaints regarding purchases made on the SLÉMON online store will be addressed through the Customer Service channels mentioned above. For all inquiries, please contact hello@slemonactive.com.

Before pursuing any formal dispute resolution procedures, Customers are encouraged to contact SLÉMON Customer Service to attempt to resolve any issues or concerns.

ART. 11 – DATA PROTECTION AND PRIVACY

SLÉMON collects and processes the Customer’s personal data, and where applicable, personal data of the order recipient. SLÉMON handles personal data in accordance with applicable data protection laws and regulations, including those applicable in Hong Kong and North America.

The purposes, recipients, and conditions under which SLÉMON collects and processes personal data are detailed in the Site’s Privacy Policy and Cookie Policy. Customers are encouraged to review these policies to understand how their personal information is handled.

ART. 12 – INTELLECTUAL PROPERTY RIGHTS

The “SLÉMON” brand and trademark, together with all figurative and non-figurative trademarks, brands, illustrations, images, logos, and other identifying marks appearing on SLÉMON products or their packaging, whether registered or not, remain the exclusive property of NM SPORTS CO., limited and its affiliated entities. Any reproduction, modification, or use of these trademarks, brands, illustrations, images, logos, or other identifying elements for any purpose or on any medium without prior written authorization from SLÉMON is strictly prohibited. This prohibition extends to any combination or conjunction with other marks, symbols, logos, or distinctive signs intended to form composite logos or designs. All copyrights, designs, models, and other intellectual property rights in SLÉMON products and materials are the property of SLÉMON and its licensors.

ART. 13 – DISPUTES AND APPLICABLE LAW

These Terms and Conditions are governed by the laws of Hong Kong and applicable laws in North America, without regard to conflict of law principles. The applicability of specific laws may vary depending on the Customer’s location and the nature of the transaction.

Any dispute arising out of or relating to the existence, interpretation, performance, or termination of any contract or transaction between SLÉMON and the Customer, or any dispute related to these Terms, shall be subject to the exclusive jurisdiction of the competent courts of Hong Kong.
